LandUp Data Room Terms & Conditions

These sit alongside the Confidentiality Agreement you accept when you register.

1. Who these terms apply to

Anyone who registers to enter a LandUp data room. By ticking the box you confirm you are an adult, that your details are accurate, and that you may accept these terms for yourself and, if you named a company, that you have authority to accept for that company.

2. Access

Access is for one visit. It ends when you leave, close your browser or after a short time limit, and you register and accept again on every return. Do not share your access, and do not use automated tools to download the data room.

3. What the documents are

Documents are provided by LandUp or third parties for evaluation only. They are not an offer, are not guaranteed to be complete or accurate, and are not legal, tax or investment advice. You rely on them at your own risk and should do your own diligence.

4. Confidentiality and no side dealing

The Confidentiality & Non-Circumvention Agreement governs what you may do with the information and with whom you may speak about the site. If anything here conflicts with that agreement about confidential information, the agreement controls.

5. Records and privacy

We record your registration details, the time, your IP address and which documents you open or download. We use them to run the data room, follow up with you about the site, and enforce the agreement. We do not sell them. You can ask us to delete your details, except records we must keep to enforce the agreement.

6. Communications

You agree we may email or call you about the site you registered for. You can ask us to stop at any time.

7. Liability

To the extent the law allows, LandUp is not liable for indirect or consequential loss arising from your use of the data room, and total liability is limited to the amount you paid us for access, which is nothing.

8. Disputes and binding arbitration

Any dispute about these terms, the agreement or your use of the data room is decided by binding arbitration on an individual basis, not in court and not as a class action, except that either side may go to court for urgent relief to protect confidential information. The Federal Arbitration Act applies and Illinois law governs. Arbitration is administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Chicago, Illinois, as set out in the Agreement.

9. Changes and ending access

We may change these terms for future visits and may end anyone's access at any time. Provisions that by nature should continue after access ends do so.
